What is an AI governance model?

An AI governance model is not a corporate policy or an ethics poster.

It’s a structured design for one AI use case that shows:

  • What the AI system is allowed (and not allowed) to do

  • Who owns it and who signs off on key decisions

  • Which laws, standards, and internal policies it must follow

  • How it will be monitored, audited, and updated over time

In this manual, we capture that on a single page: the AI Governance Model Canvas.

Every high-impact AI use case — customer agents, fraud detector, planning assistant, triage tool, recommendation engine — should have its own AI governance model canvas.

This manual is written for executives, AI leaders, and practitioners who are responsible for real AI systems, not just strategy slides. It’s meant to be used jointly by sponsors who need clear visibility on risk and ownership, AI and CAIO leaders who want consistent governance across use cases, product and business owners who are shaping how an AI use case will actually run, and risk, legal, compliance, and security teams who need something concrete to review and challenge. You don’t need to be a data scientist to use it — if you understand the business, the users, and the impact of the use case, you can fill this canvas.

Why policy-level governance is not enough

Most organizations already have policy-level governance for AI:

  • company-wide AI principles

  • data privacy and security policies

  • risk and compliance frameworks

Policy-level governance answers:

What are our general rules and values for AI across the organization?

That’s necessary, but global standards are clear: you must also manage risk at the system level.

  • The NIST AI Risk Management Framework is built around four functions — Govern, Map, Measure, Manage — applied to each AI system across its lifecycle.

  • ISO/IEC 42001 is the first AI management system standard. It asks organizations to establish, implement, maintain, and improve AI systems in a structured way, aligning them with ethics, accountability, transparency, and data privacy.

Surveys of large organizations show the gap clearly: many say they have “AI governance frameworks”; far fewer can show how specific AI applications are actually governed in practice.

Regulators and boards are shifting from:

Do you have AI principles?” to “Show me how this particular AI use case is governed.”

That’s exactly what this canvas is for.

Why you need a governance model per use case

Not all AI is created equal:

  • An internal meeting-notes summarizer

  • An AI that drafts investment plans

  • A model that flags suspicious transactions

  • A system that helps prioritize patients in a hospital

They don’t carry the same risk. If you try to use one generic checklist for everything, two bad things happen:

  • Low-risk tools get over-governed → people bypass the process

  • High-risk tools get under-governed → you carry hidden legal and reputational risk

A per-use-case governance model keeps things proportional:

  • Simple, light governance for low-impact tools

  • Clear, tighter controls for high-impact tools (like financial advice, health, safety, public security)

Walking the AI Governance Model Canvas

Now that you’ve seen the full canvas, the next step is to go through the categories and their blocks one by one.

To make this concrete, we’ll keep coming back to a single running example: Victoria Royal Investment (VRI), a wealth management firm rolling out an AI assistant that drafts personalized financial plans for clients, while human advisors stay fully responsible for final recommendations.

For each category, we will:

  • explain the intent in plain language

  • break down its blocks

  • show what you should fill in

  • and illustrate it with the VRI use case so you can see how it looks in practice

Category 1 – Context & Risk

Before you can govern an AI system, you need to frame it clearly:
What is it? How risky is it? And which rules does it sit under?

Category 1 has three blocks:

  1. Use Case & ID

  2. Risk Tier & Category

  3. Regulation & Policy Map

These three blocks give you the “governance snapshot” of the use case.

Block 1 – Use Case & ID

Purpose: Give the AI use case a clear identity so everyone knows exactly what system this canvas is about. No buzzwords, no vague “AI platform” language.

What you fill in:

  • Use Case Name

  • Use Case ID (a simple unique code, e.g., ORG-FUNC-001)

  • Description: what the AI does, for whom, and what it does not do

  • References: which AI-BMC and AIRA belong to this use case

Description: An AI assistant that drafts personalized financial plans for Victoria Royal Investment clients, based on their profile and goals. It only creates drafts. Licensed advisors must always review and approve the plans before they are shared with clients.

If someone reads only this block, they should already know what system we’re governing.

Block 2 – Risk Tier & Category

Purpose: Not all AI is equally sensitive. This block sets a simple risk label for the use case and the type of risk it belongs to. That label drives how “heavy” the rest of governance needs to be.

What you fill in:

  • Risk Tier: Low / Medium / High / Critical

  • Risk Category: e.g., internal productivity, financial advice, lending, HR decisions, healthcare, physical safety, public security, etc.

  • Reason (one sentence): why you picked that tier

You’re not building a full risk register here; just a clear signal.

Once this block is filled, everyone understands whether this use case needs light or tight governance.

Block 3 – Regulation & Policy Map

Purpose: This block anchors the use case in its legal and policy reality:
Which laws apply? Which standards do you claim to follow? Which internal policies govern this system? You’re not doing legal analysis here — just mapping the big rocks.

What you fill in:

  • External laws / regulations: name the key ones that clearly apply (sector laws, data protection, AI-specific regulations)

  • Reference standards: if relevant, e.g., NIST AI RMF, ISO/IEC 42001

  • Internal policies: the handful that really matter for this use case (AI policy, privacy, security, model risk, incident response, etc.)

VRI example

Laws / Regulation: Local securities regulation for investment advice; national data protection law; any central bank or financial regulator guidance on using AI in client advice.
Standards referenced: NIST AI RMF for system-level risk management; ISO/IEC 42001 as the AI management baseline.

With Category 1 complete, you’ve answered three core questions:

  • What system are we talking about?

  • How sensitive is it?

  • What rulebook does it live under?

Next, we move to Category 2 – People & System Boundaries: who owns what, and where this AI actually sits in the real workflow.

Category 2 – People & System Boundaries

Once you’ve framed the use case and its risk, the next question is simple: “Who actually owns this thing, and where does it live in our real workflow and data flows?

Category 2 answers that. It has two blocks:

  • 4. Roles & Decision Rights

  • 5. System & Data (Governance View)

Together, they stop the classic “AI orphan” problem: a system in production that nobody clearly owns.

Block 4 – Roles & Decision Rights

Purpose: This block makes accountability explicit. It names the people or teams who own the business outcome, the AI system itself, the data, compliance, and security — and it clarifies where humans must stay in control.

It’s your “who does what” map for this use case.

What you fill in:

  • Business owner – accountable for the business outcome and overall risk

  • AI / system owner – accountable for how the AI system behaves and evolves

  • Data owner – responsible for data quality, access, and permissions

  • Risk / compliance lead – responsible for regulatory and policy alignment

  • Security lead – responsible for protecting the system and data

  • Product / operations lead – responsible for day-to-day use, onboarding users, training, support

Then add one line on oversight mode:

  • Human-in-the-loop (HITL) – AI suggests, human approves

  • Human-on-the-loop (HOTL) – AI acts, human monitors and can intervene

  • Human-after-the-loop (HATL) – AI acts, humans review after the fact

VRI example

Business owner: Head of Wealth Management – owns the client proposition and is accountable for outcomes and risks.
AI system owner: Head of Digital Wealth Solutions – owns how the planning assistant is configured, tested, and updated.
Data owner: CIO / Data Governance Lead – responsible for client data quality, access rights, and integrations.
Risk / compliance lead: Chief Risk Officer – ensures the assistant respects investment advice rules and internal model risk standards.
Security lead: CISO – responsible for securing the systems that host the assistant and the data it uses.
Product / operations lead: Wealth Platforms Manager – responsible for rollout to advisors, training, and day-to-day usage.
Oversight mode: Human-in-the-loop – the AI can only draft plans; licensed advisors must always review and approve before clients see anything.

If this block is clear, you should be able to answer “who signs off, who fixes, who gets called” without argument.

Block 5 – System & Data (Governance View)

Purpose: This block gives a simple picture of where the AI sits and what data it touches — but from a governance angle, not a technical network diagram. You’re answering:

  • Where does data come from?

  • Where does it go?

  • Where exactly is the AI in that flow?

  • Which data is sensitive or regulated?

What you fill in:

  1. Flow description – one or two sentences:

    • “Source system → AI → human → downstream system.”

  2. Data types and sensitivity – a short list:

    • what kinds of data the AI uses (e.g., personal, financial, health, operational),

    • and tags like personal, sensitive, regulated, non-personal.

You’re reusing your AI-BMC system map and data blocks here — just tagging them for governance.

VRI example

Flow: Client information is captured in VRI’s onboarding system. That data is passed to the AI planning assistant, which generates a draft financial plan. The draft appears in the advisor dashboard, where the advisor can adjust it. Once the advisor approves, the final plan is stored and shown to the client through the client portal.

Data types:

- Personal identity data (name, age, contact details) – personal data

- Financial profile (income, assets, liabilities, investment goals, risk tolerance) – sensitive, regulated financial data

- Product and market data (funds, portfolios, indices) – non-personal reference data

After Category 2, two things are crystal clear:

  • Who owns and operates this AI use case

  • Where it lives in your real data and workflow landscape

Next, we move to Category 3 – Protections in Practice: how you turn ethics and risk into real guardrails that shape what the AI can and cannot do.

Category 3 – Protections in Practice

By now, you know what the AI does, how risky it is, who owns it, and where it lives.

Category 3 answers the next question: “Given the risks and ethics, what guardrails are we putting in place so this system behaves properly in the real world?

This category has three blocks:

This is where high-level “responsible AI” talk turns into concrete rules.

Block 6 – Ethics & Harm Scenarios

Purpose: Turn vague principles (fairness, transparency, privacy, human agency, etc.) into specific “what could go wrong” stories for this one use case. Those stories are the raw material for your controls.

What you fill in:

Pick 3–5 principles that really matter for this use case (don’t list everything). For each, write 1–2 short harm scenarios:

  • What is the harm?

  • To whom?

  • In what situation?

Keep it concrete and human, not abstract.

VRI example

For the VRI Client Planning Assistant:

Fairness
Harm: The AI tends to recommend riskier products to younger clients without a justified basis, so younger clients carry more hidden risk.

Transparency
Harm: Advisors do not understand why certain allocations are suggested, so they can’t confidently explain or challenge them.

Privacy
Harm: Client financial data is used to improve the AI without clear consent or clear limits on how long it is kept.

Human agency
Harm: Advisors start trusting the AI blindly and stop correcting poor or borderline plans.

After this block, you have a short list of real risks to real people, not just principles on a slide.

Block 7 – Safety & Technical Controls

Purpose: Define the technical guardrails that keep the system within safe boundaries and prevent (or reduce) the harms you just described.

This is where you decide:

  • What the AI is allowed to see

  • What the AI is allowed to output

  • What tests you run before go-live

  • How you shut it down or fall back if needed

What you fill in:

  • Input limits: what data the AI does not get

  • Output limits: what the AI cannot do or say

  • Pre-launch tests: the minimum checks before deployment

  • Kill switch / fallback: who can pause it and what happens then

VRI example

Input limits: The AI only receives the client data needed to generate a plan (profile, financial situation, goals, risk tolerance). It does not see unrelated personal notes or documents.

Output limits:

- The AI can only recommend products from VRI’s approved product list.

- It cannot execute trades or send plans directly to clients

– it only drafts for advisor review.

Pre-launch tests:

- Test on a sample set of client profiles to check for obviously unsuitable or extreme plans.

- Check that suggestions stay within VRI’s internal suitability rules.

Kill switch / fallback: If repeated poor or non-compliant plans are detected, the system owner or risk lead can pause the AI planning assistant. Advisors then switch to standard manual planning templates until the issue is fixed.

After this block, you’ve translated ethics and risk into clear technical and process limits.

Block 8 – User Rights & Usage Rules

Purpose: Set the rules for who can use the AI and how you treat people affected by it (clients, citizens, employees, etc.). This is where transparency, contestability, and basic rights become explicit.

What you fill in

  • Who is allowed to use the AI tool (roles, not names)

  • What you tell people impacted by it (short disclosure text)

  • What rights they have, such as:

    • Right to a human review

    • Right to correct their data

    • Right to object to AI being used in their case (where appropriate)

VRI example

Who can use it: Only licensed VRI investment advisors can access and use the planning assistant.

What clients are told: “Your financial plan has been drafted with the help of an AI assistant. Your advisor reviews and is fully responsible for the final recommendation.”

Client rights:

- Clients can request a plan created fully by a human advisor.

- Clients can ask to correct or update their personal and financial information used by the tool.

- Clients can raise a complaint if they believe a recommendation is unsuitable or not in their best interest.

Once Category 3 is done, you have a clear picture of:

  • The main ways this system could cause harm

  • The controls you’ve put in place to prevent or limit those harms

  • How users and affected people are treated and informed

Next, we move to Category 4 – Assurance & Lifecycle: how you make sure the system stays under control once it’s live.

Category 4 – Assurance & Lifecycle

You’ve defined the use case, ownership, and guardrails.
Category 4 answers the last big question: “Once this AI is live, how do we keep an eye on it, prove what we did, and decide when to change or retire it?

This category has two blocks:

  • 10. Lifecycle & Reviews

Block 9 – Monitoring, Evidence & Incidents

Purpose: Make sure this AI use case doesn’t become a “fire and forget” system. You define:

  • what you’ll actually monitor,

  • what proof you’ll keep,

  • and what counts as a serious problem.

What you fill in:

  • Monitoring: 3–5 things you will track in production (e.g., error rates, overrides, complaints, bias signals).

  • Evidence: what you store as proof of responsible operation (e.g., model version, key tests, sample logs).

  • Incident definition: a clear sentence: “An incident is when X happens Y times / crosses Z threshold.”

  • Incident response: who gets notified and who decides what to do.

VRI example

Monitoring:

- How often advisors significantly change or reject the AI’s draft plans.

- Number and type of client complaints related to advice quality.

- Any visible concentration in product recommendations (e.g., same fund over-used).

Evidence:

- Record of model version and configuration.

- Summary of pre-launch tests and periodic reviews.

- Sampled records of draft vs. final advisor-approved plans.

Incident definition and response:

- An incident is when we detect a pattern of draft plans that would fail VRI’s internal suitability checks, or when a regulator or risk team raises a serious concern about the AI-generated plans.

- In that case, the AI system owner and Chief Risk Officer review the issue, decide whether to pause the AI assistant, and document actions taken.

If this block is clear, you know what you’re watching and when you go into “this is a problem” mode.

Block 10 – Lifecycle & Reviews

Purpose: Make it explicit that this AI use case is not permanent in its current form. You define:

  • its current stage,

  • how often you review it,

  • what triggers an earlier review,

  • and when you’ll redesign or retire it.

What you fill in

  • Current stage: Pilot / Limited deployment / Full deployment

  • Review cadence: e.g., every 6 or 12 months

  • Early triggers: what events force a review (e.g., new law, major incident, model change, big data change)

  • Retirement / redesign conditions: when this use case should be reworked or shut down

VRI example

Stage: Limited deployment with a selected group of advisors.
Review cadence: Full governance review every 12 months.
Early triggers: Major changes in investment regulations; serious incident related to unsuitable advice; major change to the model or the product set.
Retirement / redesign: The assistant is redesigned or retired if new rules or internal policies make the current approach non-compliant, if VRI moves to a new advice platform, or if repeated serious incidents show that risks cannot be reduced to an acceptable level.

Once Category 4 is complete, you’ve closed the loop:

  • The system is not just designed and controlled —

  • It is monitored, evidenced, and regularly re-evaluated.
